Welcome to SegmentSync! These Terms of Service (“Terms”) govern your access to and use of the SegmentSync software-as-a-service application (the “Service”) provided by Keytactic LLC (“Keytactic,” “we,” “us,” or “our”).
By creating an account, or by accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you may not access or use the Service.
If you are using the Service on behalf of an organization or entity (“Organization”), then you are agreeing to these Terms on behalf of that Organization, and you represent and warrant that you have the authority to bind the Organization to these Terms.
SegmentSync is a tool that connects to a user’s Klaviyo account via API key or OAuth. The Service acts as a control panel, allowing users to send instructions to the Klaviyo API to create and sync pre-defined customer segments. All segmentation and processing of personal data occurs exclusively within the user’s Klaviyo account. SegmentSync does not access, view, store, or process any Personally Identifiable Information (PII) of your customers. The purpose of the Service is to enhance email marketing segmentation for e-commerce businesses and marketing professionals.
2.1. Registration: To use the Service, you must register for an account by providing a valid email address and creating a password. You agree to provide accurate, current, and complete information during the registration process.
2.2. Account Security: You are responsible for safeguarding your account credentials, including your password and your Klaviyo API keys. You are solely responsible for any and all activities that occur under your account, whether or not you have authorized such activities. You must notify us immediately at hello@segmentsync.io of any unauthorized use of your account.
3.1. Subscription Plans: The Service is offered under various subscription plans, including a free plan and paid plans (“Pro” and “Agency”).
3.2. Billing: All paid plans are billed on a recurring monthly basis. By selecting a paid plan, you authorize us to charge your payment method on the first day of each billing cycle. All subscriptions will automatically renew for successive monthly periods unless you cancel your subscription prior to the renewal date.
3.3. Payment Processor: We use a third-party payment processor, Stripe, to handle all payments. Your use of the payment services is subject to Stripe’s terms and conditions. We do not store or have access to your full credit card information.
3.4. Failed Payments: If your payment method fails, we will notify you and may attempt to re-charge you. We reserve the right to suspend or terminate your access to the Service if payment is not received within a reasonable grace period.
4.1. Cancellation by You: You may cancel your subscription at any time through your account settings. If you cancel, your subscription will remain active until the end of your current billing period, and you will not be charged again.
4.2. Termination by Us: We reserve the right to suspend or terminate your account and access to the Service at our sole discretion, without notice, for any reason, including but not limited to a breach of these Terms.
4.3. Refund Policy: We offer a 7-day refund policy for your first subscription payment only. To request a refund, you must contact us at hello@segmentsync.io within 7 days of your initial sign-up. All refund requests are subject to our review and are granted at our sole discretion. No refunds will be issued for subscription renewals or after the 7-day period.
5.1. Your Data in Klaviyo: You are solely responsible for the data within your Klaviyo account (“Customer Data”). You represent and warrant that you have obtained all necessary rights, consents, and permissions to collect, share, and use your Customer Data and to instruct Klaviyo to process it via the Service.
5.2. Compliance with Laws: You agree to use the Service in compliance with all applicable laws, including but not limited to data privacy laws (e.g., GDPR, CCPA), marketing regulations (e.g., CAN-SPAM), and intellectual property laws.

6.1. Klaviyo: The Service is dependent on the availability and functionality of the Klaviyo platform and its APIs. We are not responsible for any issues, downtime, or changes made by Klaviyo that may affect the Service’s performance.
6.2. AI Analysis: We may use third-party services, such as Claude AI, to analyze aggregated and anonymized data derived from your use of the Service. This data includes non-PII metrics like segment sizes and ratios. This analysis is used for service improvement, trend analysis, and feature development. We do not send any of your Customer Data or PII to these services.
7.1. Our Intellectual Property: Keytactic LLC owns all right, title, and interest in and to the Service, including all related software, technology, branding, and content, and all intellectual property rights therein. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service strictly in accordance with these Terms.
7.2. Your Intellectual Property: You retain all right, title, and interest in and to your Customer Data within your Klaviyo account. We do not claim any ownership rights over your Customer Data.
8.1. Disclaimer of Warranties: THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE EXPLICITLY DISCLAIM ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT, OR NON-INFRINGEMENT. WE MAKE NO WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. WE DO NOT GUARANTEE ANY SPECIFIC PERFORMANCE, RESULTS, OR OUTCOMES FROM THE USE OF THE SERVICE, INCLUDING ANY INCREASE IN SALES, ENGAGEMENT, OR MARKETING EFFECTIVENESS.
8.2. Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL KEYTACTIC LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; OR (C) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT. IN NO EVENT SHALL KEYTACTIC LLC’S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100) OR THE TOTAL AMOUNT OF FEES PAID BY YOU TO KEYTACTIC LLC FOR THE SERVICE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
9.1. Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of law principles.
9.2. Mandatory Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, shall be determined by binding arbitration in Camden County, New Jersey, before one arbitrator. The arbitration shall be administered by the American Arbitration Association (“AAA”) in accordance with its Commercial Arbitration Rules. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.
9.3. Class Action Waiver: YOU AND KEYTACTIC LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
10.1. Changes to Terms: We may modify these Terms at any time. We will provide notice of any material changes by posting the new Terms on our site or by sending you an email. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.
10.2. Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire and exclusive understanding and agreement between Keytactic LLC and you regarding the Service.
